VOIT Group: MILLISON TECHNOLOGIES INC. acquires business shares in VOIT Automotive, Fonderie Lorraine, and Voit Polska

• Integration into the international technology conglomerate opens up global markets
• Preservation of all approx. 1750 jobs, including about 1000 jobs at the headquarters in St. Ingbert, Saarland
• Giga Casting technology transfer from China and further growth planned in Europe

St. Ingbert / Chongqing (China), April 19, 2024. The shareholders of the VOIT Group, consisting of VOIT Automotive GmbH, including 51% of the shares in Fonderie Lorraine and Voit Polska, a multinational leading technology company for the automotive industry, sold their business shares to Millison Technologies, based in Chongqing and listed on the Shenzhen Stock Exchange, on April 16, 2024 (“Signing”). Millison Technologies is a global leader in the development of advanced aluminum components and tools for the automotive and telecommunications industries as well as for energy storage.

VOIT, headquartered in St. Ingbert, Germany with several international locations, is a leading technology company and automotive supplier. As a technology partner for engineering, process development, and mass production, VOIT focuses on high-precision, customized components for drivetrain technology and driver assistance systems.

Millison acquires all shares of the previous shareholders. The purchase price (in EUR) is in the mid-double-digit million range. The transaction is still subject to antitrust approval and the occurrence of various conditions.

Arthur Yu, CEO of Millison, comments: “The acquisition of VOIT is a significant strategic and transformative transaction for Millison. The unique and company-specific expertise of VOIT will strategically complement Millison’s core competencies. This creates one of the few companies of this size that can offer our customers a unique product range, added value, and competitive advantages. The combined company will have locations worldwide to serve our customers globally.”

Hendrik Otterbach and Christopher Pajak, Managing Directors of the VOIT Group are very confident: “Despite high capacity utilization and an attractive customer portfolio, VOIT is undergoing a comprehensive transformation in light of global market changes away from internal combustion engines. The partnership with Millison opens up completely new perspectives and synergy potential, which we want to leverage. We thank the involved stakeholders in the transaction, especially the VOIT shareholders and the officials at Millison for their trust.”

Saarland Minister of Economics, Jürgen Barke, is pleased: “We were closely involved in the extensive M&A process from the start and created the conditions for the transformation process to work. We are therefore very pleased that the acquisition by Millison Technologies has found a strong future solution at the Saarland location. This is our creative contribution – the blueprint for transformation: Here, with new shareholders and the chance for new products, real future prospects are created. Employment is secured, and we offer further development opportunities for the company at the Saarland location. We will continue to accompany and support the company’s transformation.”

Lawyer Matthias Bayer (Abel and Kollegen), restructuring advisor for VOIT Automotive GmbH, adds: “The transaction is embedded in a complex restructuring concept. The agreed acquisition secures jobs and creates a stable basis for the future. As part of the international technology conglomerate, the combined strong product and technology portfolio offers additional profitable growth opportunities. I would like to sincerely thank Minister Jürgen Barke and his Deputy Minister, Mrs. Elena Yorgova-Ramanauskas, who have personally and professionally supported this intensive process from the beginning, thus contributing to the achievement of the pursued goals.”
